How do I know my expert is right for me? Our carefully vetted experts all bear the Evisors brand as a quality guarantee. Each customer can carefully review an expert's profile in detail and their feedback before selecting the right expert. We also offer a grace period for each customer. If you speak with your expert for less than 10 minutes and feel that this is the incorrect expert for you, we will happily refund the session and set you up with a more appropriate expert. |

What if I'm not happy with my session? Evisors takes your satisfaction seriously. First, if your expert is not right you have the option of ending the consultation after the first 10 minutes and rescheduling with someone else. However, if you do go through with the session and are not happy for any reason, Evisors will gladly offer you a makeup session for free. In an effort to improve our service, we will listen to a recording of your session and ask you to fill out a survey so we understand what went wrong and make sure it doesn’t happen again. Will the expert be able to see my name, phone number or email address? No. We at Evisors are very serious about your privacy. Evisors will never share your name, phone number, or email address with the expert. All communications go through our system and protect your identity. How do I communicate with my expert in advance of the session? After? For email consultations, you can only send one request to the expert and receive one response. For phone consultations, you can log in to your consultation homepage using the link from your confirmation email to share multiple files and send messages at any point before your consultation and up to 24 hours after. If you would like to contact your expert after an email response or more than 24 hours after your phone consultation, we recommend you set up another consultation. What is Evisors' cancellation policy? We understand that schedules and priorities can change. In order to be considerate of our experts, we will refund 100% of any cancellation that happens more than 48 hours before the scheduled session and 50% if the cancellation is between 1 and 48 hours before the session. No refunds are given for cancellations within 1 hour of the session. |

What can I expect if I sign up? What types of advice can I offer? Everyone has professional expertise from years of work and education, but few ways to help connect with others to share those insights. Whether it's someone looking for help interviewing for jobs or applying to schools, or a business owner or investor looking to speak with a professional who has been there and done that and can save hours of frustration or research, Evisors is a diverse platform of talented and interdisciplinary experts. As per our Terms of Service, as an Expert you must comply with all applicable laws. In addition, you are not allowed to provide advice on the value of securities, the advisability of investing in, selling or purchasing securities, or any report or analysis concerning securities. How should I set my rate? Experts on Evisors set rates varying from $50 to more than $400 per hour. Experts may find that that they can charge higher rates if they have more work experience, higher levels of education, and/or backgrounds from more sought-after schools, companies or industries. Remember however that Evisors is a marketplace and that you can change your rates at any time if you find yourself getting too few customers or more customers than you can handle. Many experts keep their rates low when they lack feedback and raise them over time after positive feedback. |

How does Evisors make money? In order to cover our costs, we mark up the expert rate you set, so that you get the rate you want, and we can pay for maintaining Evisors.com. |

Do members of the public get my email address and phone number? No! All of your contact information is kept completely private and will not be released to anyone. |

How does Evisors protect my privacy? Evisors takes the privacy of its experts very seriously. Your profile will only contain your first name and our online collaboration tool allows you to connect anonymously with your clients. At no point is your full name, phone number or email address given out. Clients can contact you in advance, share files and schedule subsequent meetings by using their consultation homepage that routes everything through our system and protects your privacy. When should I expect my first call? Your profile goes live once you have completed a full profile and you can receive a request anytime after that. You can increase traffic to your profile in a number of ways including adding a profile photo, adding detailed description of your skills and experience, contributing as a guest blogger (email here) or adjusting your rate. We also give our new experts the opportunity to provide their first session free so they can garner good feedback, which is the biggest factor when customers select experts. You can select this option directly on your profile. We also recommend updating your availability regularly so that when people contact you, it is a seamless scheduling process! |

How should I prepare for my first call? The meeting request you receive from the Evisors network will have some suggested meeting times based on the preferred times in your profile. This meeting request will also include details on the type of advice the customer is looking for (e.g., informational interview for investment banking). Once you accept the meeting request for a specific time, Evisors.com will send you a calendar invite. In preparation for your meeting, we recommend you prepare as you would for any business meeting. For example, if you were providing a consulting case interview, you would thoroughly prepare your case as well as information on consulting and the various firms as per your expertise. You can contact your client in advance of the meeting through the consultation homepage (accessible on your expert profile) if you have specific questions on what they would like to cover (e.g., types of consulting case interviews they want to focus on) or if you want them to forward additional files to your attention. All information will be shared through this consultation platform and we will notify you by email if the client contacts you. |

YOU AGREE THAT BY USING THIS SERVICE YOU ARE AT LEAST 18 YEARS OF AGE AND YOU ARE LEGALLY ABLE TO ENTER INTO A CONTRACT.
This Agreement contains all the terms and conditions between a user of Evisors.com services (“you” or “Customer”) and Evisors. By using the site, you are executing a binding agreement between Evisors and you as the customer. You should therefore read this Agreement carefully. Definition of ServiceEvisors.com provides a platform where Customers can locate an Expert and ask for advice or services. Evisors will enable a Customer to communicate with Experts. This communication may or may not require the Customer to pay for services provided by Experts. Evisors makes no representation or warranty whatsoever as to (a) the willingness or ability of any Expert to give advice, (b) whether the Customer will find the advice given by an Expert satisfactory, (c) whether the advice of the Expert will provide an adequate solution to the Customer’s question(s) or (d) whether the Expert’s advice will otherwise be suitable to the Customer’s needs.
Evisors does not refer, endorse, recommend, verify, evaluate or guarantee any advice, information or other services provided by Experts. Customers should not consider anything to be a referral, endorsement, recommendation or guarantee by Evisors of an Expert’s advice, information or other services. Evisors does not guarantee the validity, accuracy, completeness, safety, legality, quality or applicability of the content on the Site and anything spoken or written by its Experts, including any information contained in an Expert listing. Evisors will not be liable for any damages sustained due to reliance by Customer on information or advice provided by any Expert. The advice or information provided by our experts is for informational purposes only and cannot be considered a substitute for professional advice.
Customer hereby releases and agrees to hold harmless Evisors, its directors, shareholders, officers, members, managers, employees, agents, successors, advisors, consultants and assigns from any and all causes of action, claims of any nature and damages resulting from the advice of Experts accessed through the Site or from the content of the Site. |

THE CUSTOMER ACKNOWLEDGES AND AGREES THAT EVISORS DISCLAIMS ANY LIABILITY WITH RESPECT TO ANY CLAIM, SUIT OR ACTION BROUGHT BY AN EXPERT IN CONNECTION WITH PAYMENT FOR SERVICES BY THE CUSTOMER AND CUSTOMER AGREES TO INDEMNIFY AND HOLD EVISORS HARMLESS IN CONNECTION WITH ANY SUCH CLAIM.

Modifications and Termination of Evisors.comEvisors reserves the right in its sole discretion, and from time to time, to modify or discontinue, temporarily or permanently, the services in Evisors.com, with or without notice to Customer. Customer agrees that Evisors shall not be liable to Customer or any third party for any modification or discontinuance of Evisors.com's services or for any losses or damages that may result to Customer from such discontinuation or interruption of service. Evisors's services depend on various factors such as software, hardware and communications networks of Evisors, its contractors and suppliers and factors outside its control. Hence, Evisors cannot guarantee that Evisors.com's service will be uninterrupted or that it will be timely, secure or error-free. Evisors may, in its sole discretion and for any reason or no reason, terminate Customer's participation in Evisors.com and refuse any and all current or future use by Customer of Evisors.com. |
IndemnificationCustomer shall indemnify, defend and hold harmless Evisors and its members, managers, employees, representatives, agents and affiliates against any and all losses, damages, suits, judgments, costs and expenses (including litigation costs and attorneys' fees) arising out of or in connection with any claim, suit, action, or other proceeding brought against Evisors or such party, to the extent that such a claim, suit, action or other proceeding is based on or arises from: (a) any breach of any representation, warranty, covenant or agreement to be performed by Customer according to this Agreement; (b) Customer's refusal to pay for services provided by any Expert; or (c) any materials that Customer had posted to Evisors.com or transmitted through it and/or any content on Customer's Web site or otherwise provided by Customer. |
No AssignmentCustomer shall not assign his or her rights and obligations according to this Agreement, in whole or in part, whether voluntarily or by operation of law, without the prior, written consent of Evisors. Any purported assignment by Customer without the appropriate prior written approval will be null and void and of no force or effect. |
Modifications to this AgreementEvisors may change this Agreement or any part hereof at any time according to its absolute discretion and without any prior notice. Therefore, Customer is encouraged to check the terms of this Agreement frequently. By using the service or Site after any changes, Customer agrees to be bound by such changes to this Agreement. |
ViolationCustomer may report any violation of this Agreement to support@evisors.com. |

Expert's ConductYou the Expert will be solely and fully liable for all conduct, services, advice, postings and transmissions that are made in your communications through Evisors.com or under your Evisor user name and password. You represent, warrant and declare that while you are using Evisors.com as and Expert, you will act according to the following rules:
Expert and Customer CommunicationThe main purpose of Evisors is to provide a platform for registered Experts to provide Customers with advice that they seek. By utilizing Evisors.com, Experts and Customers can negotiate and enter into a contract for advice. Evisors does not screen or edit the content of communications between Experts and Customers, but Evisors may screen, copy, transmit and review all communications conducted by or through Evisors.com for technical support and/or in order to uphold the terms of this Agreement.

Modifications and Termination of Evisors.comEvisors reserves the right in its sole discretion, and from time to time, to modify or discontinue, temporarily or permanently, the services in Evisors.com, with or without notice to Expert. Expert agrees that Evisors shall not be liable to Expert or any third party for any modification or discontinuance to Evisors.com's services, or for any losses or damages that may result to Expert or his or her Customers from such discontinuation or interruption of service.
Evisors's services depend upon different factors such as: software, hardware and communications networks of Evisors, its contractors and suppliers, and other factors outside its control. Hence, Evisors cannot guarantee that Evisors.com will not be interrupted, or that it will be timely, secure or error-free.
Evisors, in its sole discretion and for any or no reason, may terminate Expert's participation in Evisors.com and refuse any and all current or future use by Expert of Evisors.com. |
Termination of Account by ExpertExpert may terminate their Agreement with Evisors at any time by sending an email to support@evisors.com. Evisors shall invalidate Expert's user name and password within thirty (30) days of receiving such notice. Expert may inactivate his or her own account for any desired period of time from within their Evisors account. Notwithstanding termination, all obligations of Expert under this Agreement relating to any activity prior to the termination date shall remain in full force and effect. |
Copyright PolicyEvisors respects the intellectual property of others, and we ask our users to do the same. Evisors may, in appropriate circumstances and at its discretion, terminate the account or access of users who infringe the intellectual property rights of others. |
Limited LicenseEvisors grants Expert a nonexclusive, revocable right to use the Site provided that Expert does not copy, modify, create a derivative work of, reverse engineer, disassemble or otherwise attempt to discover any source code, or breach this Agreement. |
IndemnificationExpert will indemnify, defend and hold harmless Evisors, and its members, managers, employees, representatives, agents and Affiliates against any and all losses, damages, suits, judgments, costs and expenses (including litigation costs and attorneys' fees) arising out of or in connection with any claim, suit, action, or other proceeding brought against Evisors or such party, to the extent that such claim, suit, action or other proceeding is based on or arises from: (a) any breach of any representation, warranty, covenant or agreement to be performed by Expert according to this Agreement; (b) Expert's provision of services to any third party, regardless of whether or not they are Customers of the Evisors service; or (c) any materials that Expert has posted to Evisors.com and/or any content on Expert's Web site or otherwise provided to Customers. Expert represents and warrants that it maintains and will continue to maintain adequate insurance if such insurance is required by any applicable laws or regulations which apply to the provision of services by Expert, including, without limitation, professional liability insurance applicable to the legal and medical professions. Insider TradingA. Legal Prohibitions and Penalties U.S. federal securities laws and the laws of most jurisdictions worldwide generally prohibit "insider trading" or the purchase or sale, or the recommendation of a purchase or sale, of any stock, bond, option or other security by a person while he or she is in possession of "material nonpublic information" (sometimes also referred to as "inside information") about the security or its issuer. The use of such material nonpublic information to avoid losses is no less a violation than the use of such information to generate profits. Regulators have treated the detection and prosecution of insider trading violations as an enforcement priority, and violations have also been the subject of private legal actions. U.S. federal and state securities laws provide for criminal and civil penalties for violations of the insider trading laws. Sanctions or penalties include jail sentences, civil injunctions, fines for the person who committed the violation of up to three times the profit gained or loss avoided as a result of the unlawful trades, whether or not the person fined actually traded, and fines for the person's employer or other controlling person. A person can be subject to some or all of these penalties as a "tipper" if he or she discloses material nonpublic information to another person who then trades while in possession of such information. A person can incur "tipper-tippee" liability if his or her disclosure of information breaches a duty owed to the issuer or the source of the information. A tipper can be liable even if he or she does not personally receive a direct monetary benefit from the ensuing trading activity. In addition, the prohibitions can also apply to persons with a family relationship to the source of the information, and to persons with any other relationship of trust or confidence with the source (such as when people have a history, pattern or practice of sharing confidences). You are prohibited from disclosing any nonpublic information in breach of any duty of trust or confidence to the source or subject matter of the information. B. Material Information Information is "material" if there is a substantial likelihood that a reasonable investor would consider it important in deciding whether to purchase, sell or hold a security or other financial instrument. It is also information that, if disclosed, is reasonably likely to affect the market price of the security or instrument. Information may be material even if it relates to speculative or contingent events. Information that is material with respect to a security is also likely to be material with respect to options and other related derivatives. Information that is material usually includes, but is not limited to: dividend changes, earnings estimates, changes in previously released earnings estimates, significant merger or acquisition discussions or agreements, major litigation or regulatory investigations, regulatory approvals or disapprovals, and extraordinary management developments. Because the determination of whether information is "material" involves questions of judgment (that may be second-guessed by a regulator who has the benefit of hindsight), you should refrain from disclosing nonpublic information if you have any questions about whether the information might potentially be considered material. C. Nonpublic Information Information is nonpublic until it has been effectively communicated to the market place or made widely available to the general public such as by means of a press release carried over a major news services, a public filing made with a regulatory agency, or material sent to security holders or potential investors (such as a proxy statement or prospectus). It is sometimes difficult to know whether information has been made public. The fact that nonpublic information is reflected in rumors in the marketplace does not mean that the information has been publicly disseminated. Even when some information regarding a matter has been made public, other aspects of the matter may remain nonpublic. |
No AssignmentExpert shall not assign his or her rights and obligations according to this Agreement, in whole or in part, whether voluntarily or by operation of law, without the prior, written consent of Evisors. Any purported assignment by Expert without the appropriate prior written approval will be null and void and of no force or effect. |
Modifications to this AgreementEvisors may change this Agreement without prior notice by posting modifications on the Site. Unless otherwise specified by Evisors, all modifications shall be effective upon posting. Therefore, Expert is encouraged to check the terms of this Agreement frequently. By using the service or Site after the changes become effective, Expert agrees to be bound by such changes to the Agreement. If Expert does not agree to the changes, Expert may terminate access to the Site and participation in Evisors services by following the procedures set forth above. |

Services through the Site
Users provide information during the process of using the Evisors service. We break down users of our service into two categories, Customers and Experts (you may register as both a Customer and an Expert). Customers must provide financial information such as a credit card number and expiration date (or a PayPal address) in order to pay for and use the Evisors service. Experts must provide contact information, such as name and mailing address or PayPal address, in order to receive their payment from Evisors. The information we collect from Customers and Experts is to provide users with the best possible service. If we have trouble providing that service, we may use contact information to get in touch with the user.
Customer-Expert Communication Using the Evisors Service
The main purpose of Evisors is to allow registered Experts to provide Customers with services that Customers need. Evisors hosts live conversations, email exchanges and scheduling between Customers and Experts through its web site. In the process, Evisors does not disclose the phone numbers, email addresses or full names of its users, nor do we share this information among interacting Experts and Customers. Evisors does not screen or edit the content of communications between Customers and Experts. Such communications are personal and private unless both parties agree to additional distribution. Evisors keeps information relayed between the Customer and the Expert confidential. No other users of Evisors have access to this information.
Security
Your information is stored on our servers located in the United States. Despite preventative security measures taken by Evisors, persons may unlawfully intercept or access transmissions or private communications and other persons may abuse or misuse personal information that they collect from our site. Accordingly, Evisors is not liable for the improper release or misuse of personal information or private communications.
